Asafo & Co. has advised Fipar-Holding, a subsidiary of CDG Invest, on its strategic co-investment and partnership with Helios Investment Partners to launch 3MDC, Morocco’s newly launched digital infrastructure platform.

The transaction will bring together three leading Moroccan technology businesses—Maroc Datacenter (MDC), Munisys and Medasys—forming an integrated platform across data infrastructure, cloud services, cybersecurity, and digital solutions.

Designed to accelerate Morocco’s digital transformation and reinforce the country’s position as a regional technology hub, 3MDC will serve enterprise and public-sector clients across Morocco and Southern Europe. The platform leverages MDC’s fast-growing Tier III carrier-neutral datacenter alongside Munisys’ and Medasys’ extensive capabilities in cloud, systems integration, and cybersecurity, delivering a unified hybrid-cloud solution that meets the evolving needs of organizations and supports secure, sovereign, and sustainable digital growth.

The transaction reflects a shared commitment to expanding national digital infrastructure, strengthening digital sovereignty, and building scalable, future-ready technology platforms aligned with Morocco’s long-term economic and digital ambitions.

The Asafo & Co. team advising on the transaction was led by Casablanca managing partner Patrick Larrivé who was assisted by senior associate Thami El Idrissi, as well as associates Sami Bennani, Adji Marieme Dieng, Assia Khalidi, Othmane Mestari, Baptiste Persouyre, and Souhail Sassi.
